VACANCY:
Position Overview
This role will provide legal support to the NVCCZ that includes, but is not limited to providing legal advice on investment transactions, and legal and regulatory issues for the asset management and financial services business.
Principal Duties
⦁ Providing legal advice and support to both the primary investment and asset management business functions.
⦁ Reviewing and advising on investment-related transaction documents and fund documents
⦁ Evaluating and assessing legal risks, providing regulatory advice and support
⦁ Working closely with the internal teams to provide effective corporate governance
⦁ Supporting new business initiatives and products by assisting in structuring considerations and drafting/reviewing legal documentations
⦁ Managing external lawyers for effective use of resources and ensuring good corporate governance practices.
⦁ Liaising with regulatory bodies and ensuring compliance and advocating for the organisation’s interests with regulatory bodies
⦁ Overseeing investment procedures forthe NVCCZ’s portfolio companies and other investments.
⦁ Conducting contract reviews, negotiation and documentation on corporate exercises, such as M&As, securities, transactions and any upcoming projects
⦁ Performing due diligence exercises and liaising with external parties, including external counsel, investment bankers, bankers and regulators.
Qualification and Experience
⦁ Bachelor of Commerce in Law (B COM LAW) (Hons) from a reputable university.
⦁ At least 2 to 3 years of experience in practice or as in-house legal counsel in a major legal practice or an established financial/commercial organization.
⦁ Extensive experience in corporate and commercial matters, capital markets, M&A, treasury/financing and private equity related work, including preparation/drafting of legal documentation connected with such work
⦁ Litigation practitioners focusing on corporate commercial disputes will be highly favourable as well
⦁ Sound knowledge of companies, securities and banking law is required.
