The above-mentioned vacancy has arisen within TIMB, and applications are invited from suitably qualified candidates to fill the position on a permanent basis. The successful candidate will be based at TIMB Head Office.
Key Responsibilities
- Reviewing and providing legal advice on Memoranda of Understanding and contracts.
- Providing legal protection and risk management advice to management, especially on contract management.
- Reviewing and advising management on legal implications of internal policies and procedures through Legal Compliance Audits.
- Conducting regular compliance audits of departments to continuously monitor compliance with Statutory Obligations as well as Principles of Good Corporate Governance.
- Assisting in ensuring the Board’s conformity to both internal and external legal and regulatory frameworks.
- Drafting and / reviewing all contracts or any other documentation where the Board is set to commit itself and assessing the legal implications that need to be brought to the senior management’s attention.
- Providing concise legal support and advice relating to the conduct of the Board based on sound legal principles.
- Reviewing, drafting and providing legal advice on the adequacy of the legal documents for management in relation to third party contracts.
- Providing instructions for various litigation matters affecting the Board and ensuring the best strategy is employed by external service providers in handling the litigation.
- Preparing monthly and quarterly reports for the department for executive management meetings.
- Attending management meetings in the absence of the Company Secretary.
- Capturing all Board Resolutions for submission to the parent Ministry and Corporate Governance Unit.
- Preparing and submitting quarterly Corporate Governance reports to the Company Secretary for review and consideration.
Requirements
- Bachelor of Laws Honours degree (LLBs)
- Minimum of 2 years of commercial law experience, of which one (1) should be in providing legal services in a state owned enterprise.
- Strong knowledge of applicable laws and regulations
- Valid class 4 drivers licence
