SENIOR MANAGER INVESTMENT BANKING
Reporting to the Unit Head
- Investment Bantu, the successful incumbent will be responsible for facilitating the execution of on balance sheet transactions comprising capital raising from institutional Investors on behalf of clients through debt and/or equity and offering financial advisory services to corporate clients e.g mergers and acquisitions (M&As). The position should contribute non-interest Income to the Company.
Summary of Key Duties & Responsibilities
- Analyse or review new business opportunities and present justification for further engagement.
- Engage prospective investors and escalate identified issues in a timely manner to the Unit Head
- Identify public and private companies requiring corporate actions.
- Conduct due diligence on prospective clients.
- Prepare and review Draft Mandate Agreements between the Company and prospective clients
- Negotiate terms of Mandate Agreements within the policy framework.
- Develop financial models to analyse deals/transactions to determine and advise on viability.
- Prepare and review transaction marketing materials (.e. teasers, Information memorandum. presentations etc.)
- Manage the transaction process, assessing the target organization and the impact of the deal
- Execute mergers and acquisitions, rights issues. Stock Exchange listings, offer to minorities etc. by providing specialist knowledge and advice.
- Execute capital raising transactions through private placement of debt or equity or public issues by advising clients on how much capital to raise, from where and when.
- Review bidding documents and Expressions of Interest for Corporate Actions transactions and Prepare unsolicited bids or Expressions of Interest or direct engagements with potential entities.
- Execute and close transactions by engaging equity investors, and debt financiers.
- Ensure the project/ transaction Is being implemented according to agreed terms and conditions
- Ensure that good relationships are maintained with key individuals and organizations in various sectors for purposes of placement of transactions or collaborations
- Maintain market knowledge and industry awareness, and effectively communicate knowledge to others within the Company.
- Ensure the processes, control requirements and risk management frameworks that impact the area are documented, understood and implemented by all members of the team.
- Undertake any other duties as may be assigned by Management from time to time.
Qualifications, Experience, Knowledge, Skills & Attributes
- 6 ‘O’ Level passes Including English Language and Mathematics, all obtained within no more than two sittings, preferably passed with a symbol ‘B’ or better and at least 2 ‘A level passes.
- A minimum of a recognized Degree in Economics / Business/ Finance / Accounting Degree At least 5 years’ experience in a relevant field.
- Professional qualification such as CA, CIMA, ACCA, CFA
- Good understanding and appreciation of financial services regulations and related governing legislation.
- Good financial information organization, analysis and interpretation skills.
- Good report writing and presentation skills.
- Sound knowledge of financial accounting principles, standards and practices.
- Well organized and attentive to detail.
- Practical knowledge of relevant computer packages and other Microsoft packages.
