Summary of Key Duties & Responsibilities
LEGAL ADVISORY • Review legal documents and Render legal opinion to the Group and its Subsidiaries. • Review legal documents horn external panics and provide legal advice on legal implications. • Provide recommendations to Business Units on strategic corporate decisions of a legal nature.
CONTRACT RISK MANAGEMENT • Manage and Negotiate contracts. • Review agreements involving the Group and its Subsidiaries. • Maintain records of contracts entered into by the Group and as Subsidiaries. • Provide legal opinion on contracts to protect the interests of the Group and its Subsidiaries.
LEGAL POLICIES REVIEW • Draft legal policies and procedures to guide the Group and its Subsidiaries on legal issues. • Review legal policies in line with developments within the legal system. • Obtain necessary approvals for the policies.
LEGAL DISPUTES MANAGEMENT • Attend to any legal action for or against the Group and its Subsidiaries. • Engage attorneys and give instruction on how to handle claims against the Group and as Subsidiaries. • Provide guidance on any legal documents served on the Group and its Subsidiaries.
CORPORATE GORVERNANCE • Provide input on annual reports. • Advise on changes within the legal system. • Review terms of reference of Board Committees. • Update company documents.
COMPANY SECRETARIAL • Ensure publication of AGM notices. • Seek necessary approvals of publication of AGM. • Record Board and AGM minutes for the Group and its Subsidiaries. • Prepare Board resolutions and matters arising from previous board meeting,
Qualifications, Experience, Knowledge, Skills & Attributes
• 6 ‘O’ Level passes including English Language and Mathematics, all obtained within no more than two sittings, preferably passed with a symbol ‘B’ or better and • At least 2 ‘A’ level passer • A 4 year Bachelor of law Honours Degree from a reputable University. • Law Society of Zimbabwe affiliation. • At least 5 years’ experience in a Corporate Law environment. • High level of confidentiality .• Good attention to detail .• Good time management .• Good interpersonal and communication skills. • Ability to work well in a team
