Reporting To: CHIEF EXECUTIVE OFFICER
MAIN PLRPOSEOFTHEJOB
To provide Secretariat Services to the Board of Directors and Company, ensuring that the organization complies with relevant legislation, regulation and maintains high standards of Corporate Governance.
DUTIES AND RESPONSIBILITIES
⦁ Providing Company Secretariat Services to the Board of Directors;
⦁ Providing legal advice to the Board, Board Committees and Management on statutory, constitutional and corporate governance requirements;
⦁ Advising directors and members of the senior leadership team on Corporate Governance matters during and outside of meetings. This includes advice on conflict of interest, through accounting and the development of strategy and corporate planning;
⦁ Ensuring that the Company complies with legal and regulatory requirements and obligations such as filing of accounts, holding shareholders’ meetings and keeping company documents secure;
⦁ Liaising with external professionals involved in Corporate Governance, such as External Auditors, service providers and advisors such as lawyers;
⦁ Developing Annual Calendar of Quarterly Board and Committee meetings. Board seminars. Ad Hoc meetings and
Annual General Meeting , including convening and providing administration for Annual General Meetings (AGMs), producing agendas, taking minutes, conveying decisions and handling corporate meetings correspondence;
⦁ Drafting and reviewing legal documents such as I .eases. Contracts, Framework Agreements and Non-Disclosure Agreements;
⦁ Keeping up to date with regulatory or statutory changes and policies that might affect the organization and ensuring
compliance with and implementation of good Corporate Governance practices.
⦁ Ensuring that Contracts and Policies arc up to date and are approved;
⦁ Implementing Corporate Governance processes and systems to ensure good management of the organization or compliance with legislation, and
⦁ Providing legal advice on conflict of interest, through accounting advice on financial reports, to the development of
strategy and corporate planning
QUALIFICATIONS AND EXPERIENCE:
⦁ Bachelor of I-aw Honors Degree from a Recognized Tertiary Institution;
⦁ A relevant Master’s Degree from a Relevant Tertiary Institution;
⦁ At least five (5) years’ experience in a corporate environment, of which three (3) years must be at managerial level
⦁ Must have excellent understanding of Corporate Governance and compliance issues.and
⦁ Must be a member of a recognized institute of Company Secretaries
