JOB DESCRIPTION

ZIMDEF requires a self-driven and competent person to fill the vacant position of Legal and Corporate Affairs Manager.

PURPOSE OF JOB

The purpose of the Legal and Corporate Affairs position is to ensure that a robust, pragmatic and proactive legal service exists across ZIMDEF and ensure its interests is protected.

PRINCIPAL ACCOUNTABILITIES

  • Develops and implements a robust corporate legal strategy.
  • Provides secretarial services to the Board and Committee meetings including convening the meetings. preparation of agenda and papers as well as drafting of minutes and extracting resolutions thereafter.
  • Coordinates all Board activities and meetings. including the training and Induction of new Board members.
  • Provides sound legal advice and legal counsel to the Board, management and staff on matters of law and ethics in compliance with good corporate governance principles.
  • Ensures that all key contracts for the Fund are legally compliant and the organisation’s interests are adequately safeguarded.
  • Assists the Board with yearly evaluation.
  • Ensures the safe keeping and security of the Fund’s legal documents and records.
  • Ensures that notices of all shareholders’ meetings, board meetings and board committee meetings are given in accordance with the law.
  • Certifies the Fund’s annual financial statements.
  • Develops and maintains the Fund’s corporate image and identity, which includes the use of logos and signages.
  • Plays an active part in the creation of marketing and public relations strategies in order to enable the cultivation and enhancement of strong and meaningful relationship with target audience.
  • Oversees the creation of the Fund’s marketing and public relations content.
  • Develops and implements the Fund’s Corporate Marketing and Public Relations Strategy as part of the organisational strategic plan.
  • Establishes effective media relationships and act as senior media liaison for the organisation.
  • Supervises, guides and controls staff in the department to ensure maximum productivity, efficiency, discipline and compliance with policies, guidelines and procedures.

JOB RELATED ATTRIBUTES

The ideal incumbent must possess the following minimum educational qualifications and experience:

  • Bachelor of Laws Honours degree (LLB Hons} .
  • A relevant postgraduate professional qualification is an added advantage
  • Must have a minimum of 5 years’ experience, of which 3 should have been in handling corporate secretarial matters at a senior level.
  • Excellent communication and analytical skills.
  • Legal drafting skills.
