Job Description

A strategic managerial vacancy has arisen within the National Pharmaceutical Company (NatPharm), a Government-owned entity that procures, warehouses and distributes medicines and medical supplies to health institutions nationwide. Applications are invited from suitably qualified, competent, self-motivated, honest and experienced individuals who are committed to contributing to an efficient and effective health delivery system in Zimbabwe to fill the following post.

 

LEGAL AND COMPANY SECRETARY

LOCATION: HARARE

Main Purpose of the Job

To advise the Board and Management on Legal and Corporate Governance issues as necessary as well as direct and guide staff within the various departments of NatPharm.

The LEGAL and COMPANY SECRETARY reports to the MANAGING DIRECTOR and will be responsible for the following among other duties:

Duties and Responsibilities

Provide advice and service to all members of the Board regarding their roles as Directors.
Lead the implementation of Corporate Governance Strategy and align department goals to those of the Company in order to safeguard the Company’s legal and business risks.
Develop, maintain and manage Board calendar.
Manage relationships and all issues relating to the Board of Directors and Shareholders, including convening Board, Committee and General Meetings.
Attend full Board and sub-committee meetings as Secretariat.
Compile and manage Company files including articles of incorporation, regulations, minutes, statutory returns and periodic reports.
Develop and oversee control systems to prevent or deal with violations of legal guidelines and internal policies.
Work closely with Director of Human Resources on labour matters and disciplinary hearings and ensure compliance to labour laws.
Provide efficient, effective legal support services and ensuring compliance by the Company with laws governing its operations.
Ensure the Company is legally protected in all its transactions, with customers and other third parties.
Manage the company’s litigation portfolio.

 

 

Qualifications and Experience

Qualifications and Key Competencies

The successful candidate should in possession of the following:

Masters in Corporate Governance, MBA or any other relevant Master’s degree from recognized institution of higher learning is a must.
Bachelors in Law (LL.B) (Hons) from a reputable university.
Registration to a professional body is a must.
At least 5 years’ experience, 3 years of which must be as a Company Secretary.
Sound knowledge of labour laws.
Sound knowledge of corporate governance and compliance matters.
Excellent knowledge of reporting procedures and record keeping.
High level of confidentiality.
Excellent communication skills both written and oral.
Highest levels of integrity, transparency and honesty.
