Company Secretarial

  • Preparing Company secretarial returns for Barclays Bank of Zimbabwe Limited and its subsidiaries and/other Barclays Group Entities incorporated in Zimbabwe and filing them with Company’s registry. 
  • Ensuring compliance with statutory requirements.
  • Assisting with arranging all senior management meetings and Board Committee and main board Meetings and statutory meetings of the subsidiaries.
  • Preparation and circulation of meeting packs for senior management and Board meetings.
  • Executing other company secretarial responsibilities as delegated by the Company Secretary
  • Assisting with arranging the AGM and other company and shareholder meetings.
  • Participation in the preparation, editing and progression to publication of annual financial statements,
  • Taking and typing of Minutes for Board and senior management meetings.
  • Management of data base of corporate information on Group companies and directors.
  • Assist the Company Secretary in delivering high-level business information on business activities.
  • Receiving and distributing information critical to Group Corporate Secretariat (GCS) as required.
  • Assist the Company Secretary provision of company secretarial service and advice to senior management within Barclays’ Zimbabwe, including listing obligations (debt and equity), AGM, financial Report and Accounts etc.
  • Assist in the process of notifications to regulatory authorities.
  • Assist the Company Secretary in monitoring Corporate Governance regulatory and statutory developments.

Corporate Governance

  • Ensuring compliance with internal corporate governance requirements and those from the regulatory authorities.
  • Assist in ensuring that statutory requirements are adhered to.
  • Updating Corporate Governance Guidelines and directives.
  • Updating the Barclays PLC Group Blue Print.
  • Assisting in ensuring compliance with the Corporate Governance Guidelines in the management of the Board and other subsidiaries.
  • Ensure that all activities and duties are carried out in full compliance with regulatory requirements, Enterprise Wide Risk Management Framework and internal Barclays Policies and Policy Standards.
  • Understand and manage risks and risk events (incidents) relevant to the role.
  • Ensure that all activities and duties are carried out in full compliance with regulatory requirements, Barclays Operational Risk Framework and internal Barclays Policies and Standards
Legal Advisory Services
  • Assist HOL in supporting growth of the business by providing effective legal advice to manage legal risk across the business(specifically in new products i.e. both retail and Commercial, Sourcing, Technology, Intellectual Property, Business Banking, CRES, Operations, Retail, HR) and assist in the design and implementation of procedures to effect reduction of this risk.
  • Assisting in the Identification, resolution and appropriate management of legal risk within the Bank.
  • Assisting the HOL to ensure that all aspects of legal risk are identified, covered and controlled in the implementation of new projects, systems, procedures and products.
  • Assist the Head of Legal ensure best practices are adopted and guidelines complied with, and that all activities comply with applicable laws, rules and regulations.
  • Assist the Head of Legal to identify and review legislation and regulatory guidelines and assess their impact on operations of the businesses in Zimbabwe.
  • Ensure that all activities and duties are carried out in full compliance with regulatory requirements, Enterprise Wide Risk Management Framework and internal Barclays Policies and Policy Standards.
  • Understand and manage risks and risk events (incidents) relevant to the role
  • Provision of legal advice to the retail and commercial branch network
  • Liaising directly with the legal advisers of the business as appropriate and necessary.
  • Managing the management of external law firms by ensuring capability and spend are within policy and budget
  • Acting as the HR MI and Sourcing Champion for the Department.
 

Administration

  • Responsibility for records management and maintaining complete and accurate records as well as maintaining an appropriate and efficient filing system for all records of the Legal and Company Secretarial Function.
  • Maintaining the Legal and Company Secretarial function’s accounts and internal cost reporting including Group reporting.
  • Preparation of Company Secretarial and other reports as required by the Company Secretary.
  • Assisting Company Secretary in meeting internal requirements for maintaining accounts as required by policy.
  • Liaising with internal and external stakeholders and attending to queries as necessary.
